Terms of Service

Welcome to Virtual Coach. These Terms of Service ("Terms") govern your access to and use of the Virtual Coach website at vc-sports.ai, mobile applications, APIs, training content, AI-assisted analysis features, early access programs, and related services (collectively, the "Service"). The Service is operated by Virtual Coach, Inc. ("Virtual Coach," "we," "us," or "our").

By accessing or using the Service, creating an account, joining an early access list, submitting information, uploading content, or allowing your child to use the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. The Privacy Policy is incorporated into these Terms.

1. The Service

Virtual Coach is an AI-assisted basketball training platform. Depending on feature availability, the Service may allow users to:

2. Eligibility and Age Rules

2.1 Minimum Age

You may not create or use a player account if you are under 11 years old. If we learn that an account belongs to a user under 11, we may suspend or delete the account and associated data as required by law.

2.2 Users Under 13

Users under 13 may use eligible parts of the Service only with verifiable consent from a parent or legal guardian. A parent or legal guardian must create or use a parent account, complete the required consent flow, and accept these Terms on behalf of the child. The parent or guardian is responsible for the child's use of the Service.

2.3 Teen Users Ages 13 Through 17

Teen users may use the Service only if they can legally agree to these Terms or have permission from a parent or legal guardian. Virtual Coach may provide teen-specific notices and privacy defaults. A parent or guardian remains responsible for deciding whether the Service is appropriate for the teen athlete and for supervising physical training.

2.4 Adult Users and Parent Accounts

Adults who create accounts represent that they are at least 18 years old and have authority to enter into these Terms. Adults who provide consent or manage a child account represent that they are the child's parent or legal guardian or are otherwise legally authorized to act for the child.

2.5 Accurate Age and Account Information

You must provide accurate registration, date of birth, parent, consent, and account information. You may not bypass age gates, parental consent, account controls, or other safety features. Providing false information may result in suspension or termination.

3. Accounts, Authentication, and Security

You are responsible for maintaining the confidentiality of your account credentials, device, and session. You agree to notify us promptly if you suspect unauthorized access or misuse. We may use one-time passcodes, social sign-in providers, access tokens, refresh tokens, token rotation, session revocation, and other security controls.

You may not share accounts, create accounts for someone else without permission, impersonate anyone, create multiple accounts to avoid restrictions, or use another person's account without authorization. Parent accounts may be linked to child accounts only through approved flows.

4. Parent Consent and Youth Controls

4.1 Under-13 Consent Scopes

For users under 13, Virtual Coach uses separate consent scopes so a parent or guardian can control categories of functionality:

If a consent scope is missing or revoked, related functionality may be blocked. For example, an under-13 user may be able to browse drills or record locally, while survey submission, video upload, new AI reports, or social visibility may be disabled without the relevant consent.

4.2 Parent Rights and Responsibilities

Parents and guardians are responsible for reviewing these Terms and the Privacy Policy, supervising child use, deciding whether training activities are appropriate, managing consent settings, and responding to account or safety issues. Parents may request access, correction, deletion, or consent changes as described in the Privacy Policy.

4.3 Consent Changes

Consent changes may take effect after the app refreshes account state or reconnects to the server. Offline use or queued sync may temporarily reflect prior settings until the app reconnects. If the server rejects a queued action because consent is missing, the affected feature may fail or require updated consent.

5. Health, Safety, and Athletic Responsibility

The Service includes basketball training activities and may involve physical exertion. You understand that sports training can cause injury. Before beginning any training program, users should consider their physical condition, environment, footwear, equipment, court surface, supervision, and any medical limitations.

Virtual Coach does not provide medical advice, diagnosis, treatment, physical therapy, emergency services, or professional healthcare guidance. AI-generated recommendations, drills, scores, and reports are for general basketball training support. Stop any activity that causes pain, dizziness, unsafe fatigue, or other concerning symptoms, and seek appropriate medical or professional advice.

Parents and guardians are responsible for supervising child and teen users and confirming that drills, space, equipment, and training intensity are appropriate.

6. AI-Assisted Analysis

6.1 What AI Analysis Does

If you submit a video for analysis, Virtual Coach may process the video and related drill metadata using AI-assisted systems and service providers. The system may normalize video, prepare prompts or artifacts, evaluate movement or mechanics, generate scores, and produce coaching summaries or reports.

6.2 AI Output Is Not Guaranteed

AI output may be inaccurate, incomplete, delayed, inconsistent, or unsuitable for a particular player. It may fail to detect context such as injury risk, court conditions, camera angle, fatigue, age, coaching history, or equipment limitations. You are responsible for evaluating AI output before relying on it.

6.3 No Significant Decision-Making

The Service is not intended to make legal, employment, educational, recruiting, scholarship, medical, insurance, credit, or similarly significant decisions. You may not represent Virtual Coach scores or reports as official recruiting evaluations, medical findings, or certified athletic measurements unless we expressly agree in writing.

6.4 Human Review

Authorized personnel may review content, artifacts, or reports for support, quality assurance, safety, security, debugging, abuse prevention, or compliance. Any review is subject to confidentiality and access controls.

7. User Content and Video Uploads

7.1 User Content

"User Content" means content or information you submit, upload, record, transmit, or otherwise make available through the Service, including videos, profile information, survey responses, messages, support requests, feedback, and other materials.

7.2 Your Responsibility for User Content

You represent and warrant that you have all rights and permissions needed to submit User Content and grant the license below. You must not upload videos or other content that includes people who have not consented, private information you are not authorized to share, abusive or inappropriate content, intellectual property you do not have permission to use, or anything unlawful.

7.3 Video Upload Terms

The Service may issue short-lived upload URLs so the app can upload selected videos and drill metadata to cloud storage. You may not share, misuse, tamper with, scrape, or attempt to extend upload URLs. Uploads may be rejected based on account status, consent status, file type, file size, missing blob confirmation, security checks, or service availability.

7.4 License to Operate the Service

You retain ownership of your User Content. You grant Virtual Coach a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, transmit, display, adapt, analyze, create derivative operational artifacts from, and otherwise use User Content only to operate, provide, secure, troubleshoot, improve, and develop the Service; comply with law; enforce these Terms; and exercise rights described in the Privacy Policy. For under-13 users, use of child User Content is limited by applicable parent consent and law.

7.5 De-Identified and Aggregated Data

We may create and use de-identified, aggregated, or anonymized information from User Content and Service activity for analytics, safety, product improvement, AI quality evaluation, research, and business purposes, provided it no longer reasonably identifies you or your child.

8. Privacy, Data Retention, and Account Deletion

Our Privacy Policy describes our data practices in detail, including collection, AI processing, sharing, retention, deletion, child privacy, GDPR rights, COPPA rights, app store disclosures, and contact methods.

If you request account deletion, we will process the request according to the Privacy Policy and applicable law. Deletion may include soft deletion of active application records, revocation of sessions or push devices, unlinking parent-child associations, and deletion or restriction of associated user content. Some information may be retained for limited periods where necessary for security, legal compliance, child-safety audit, dispute resolution, backup recovery, fraud prevention, or enforcement.

Deleting the app from a device may not delete your server account or server data. You should use in-app deletion controls where available or contact us through the current support or account channels made available in the Service.

9. Notifications, Social Features, and Community Safety

The Service may include operational, analysis, training, or marketing notification settings. You can manage device notifications through app settings or device settings. Marketing notifications may require opt-in consent and should not be enabled for under-13 player accounts.

If social features are enabled, limited information such as display name, player card fields, badges, points, ranking, or completion data may be visible to others. You may not harass, bully, threaten, exploit, contact, or attempt to identify minors outside the intended Service features. We may remove content, restrict visibility, disable features, or terminate accounts to protect users.

10. Beta, Early Access, and Feedback

Some features may be labeled beta, preview, early access, pilot, experimental, or invite-only. These features may be incomplete, inaccurate, unstable, unavailable, or changed without notice. We may modify, suspend, or discontinue them at any time.

If you submit feedback, suggestions, ideas, bug reports, or product requests, you grant Virtual Coach a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

11. Purchases, Subscriptions, and App Stores

Some features may require payment, subscription, or app store purchase. If purchases are offered through the Apple App Store, Google Play, or another app platform, the platform's payment terms, refund rules, cancellation controls, and subscription policies may apply. We may receive limited transaction metadata but generally do not receive full payment card details from app stores.

Unless otherwise required by law or platform rules, fees are non-refundable. You are responsible for taxes, renewal settings, cancellation, and any charges incurred through your account or a child account you manage.

If you downloaded the app from Apple or Google, these Terms are between you and Virtual Coach, not Apple or Google. Apple and Google are not responsible for providing maintenance or support for the Service, but their terms and policies may also apply to your use of the app.

13. Virtual Coach Content and Intellectual Property

Virtual Coach and its licensors own the Service, software, designs, text, graphics, logos, videos, drill libraries, training programs, prompts, scoring rubrics, reports, trademarks, and other materials, except for User Content. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for personal basketball training, subject to these Terms.

You may not copy, distribute, publicly perform, publicly display, modify, create derivative works from, or exploit Virtual Coach content except as allowed by the Service or with our written permission.

14. Third-Party Services

The Service may rely on third-party providers such as cloud hosting, databases, blob storage, queues, observability, AI model providers, authentication providers, push notification platforms, app stores, and support tools. Third-party services may be subject to their own terms and policies. We are not responsible for third-party services except as required by applicable law.

15. Suspension and Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate access if we believe you violated these Terms, created risk, provided false information, bypassed safety controls, infringed rights, misused AI or upload features, failed to pay fees, or if continuing to provide the Service would create legal, security, or operational risk.

Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive, including sections about privacy, user content licenses needed for prior operation, de-identified data, fees, intellectual property, disclaimers, limitations of liability, indemnity, disputes, and termination.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." Virtual Coach disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, safety of training outcomes, and uninterrupted or error-free operation.

We do not guarantee that AI analysis, scores, reports, recommendations, personalization, leaderboards, notifications, uploads, sync, or beta features will be accurate, available, secure, complete, or suitable for you. We do not guarantee athletic improvement, team placement, recruiting outcomes, health outcomes, or injury prevention.

17. Limitation of Liability

To the maximum extent permitted by law, Virtual Coach and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, service interruption, device issues, injury, or reliance on AI output.

To the maximum extent permitted by law, our total liability for all claims relating to the Service or these Terms will not exceed the greater of the amount you paid to Virtual Coach for the Service in the 12 months before the claim or $100.

18. Indemnity

You agree to indemnify and hold harmless Virtual Coach and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, your violation of these Terms, your violation of law, or your violation of another person's rights. This obligation does not apply where prohibited by law.

19. Changes to the Service or Terms

We may update the Service and these Terms from time to time. If we make material changes, we will provide notice by updating the effective date, posting a notice, sending a message, or using another method required by law. Continued use of the Service after changes become effective means you accept the updated Terms.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, except where local law requires otherwise. You and Virtual Coach agree to try to resolve disputes informally first by contacting us through the current support or account channels made available in the Service. Nothing in these Terms limits rights you may have under applicable consumer, privacy, child-safety, or platform laws.
